Terms & Conditions

1. Definitions

• "Platform" means the Shift Flow software application and associated services.
• "Organisation" means the entity that registers an account on the Platform.
• "Administrator" means the individual who creates or manages an Organisation account on the Platform.
• "Worker" means an individual added to an Organisation account, whether paid staff, an unpaid volunteer, or a contracted worker.
• "Subscription" means a recurring paid plan (Starter, Professional, or Enterprise) billed monthly or annually.
• "Event Pass" means a one-time access pass (3-Day Pass or 7-Day Pass) providing full Starter features for a fixed period.
• "Trial" means the 14-day free trial period available to new Organisations.

These Terms are agreed between F.I.D. Integrated Services Ltd, a private company limited by shares incorporated in England and Wales under company number 17005482, whose registered office is 11 Stonecote Road, Aylesham, Kent, United Kingdom, trading as 'Shift Flow' ("we", "us", "our") and the Organisation ("you"). By using the Platform, you agree to these Terms in full.

2. About Shift Flow & Eligibility

Shift Flow is a workforce and shift management platform for organisations with staff, volunteers, contracted workers, or any combination. The Platform is intended for Organisations, their Administrators, and their Workers.

• Organisations may be charities, non-profits, community groups, businesses, religious organisations, sports clubs, or similar entities.
• Administrators are responsible for inviting and managing their Workers on the Platform.
• Workers may be paid staff, unpaid volunteers, or contracted workers.
• Users must be 16 years of age or older.

3. Subscriptions & Billing

• Pricing is flat per-Organisation, not per user.
• Subscriptions are billed monthly or annually in advance via Stripe. We never store card details.
• Subscriptions auto-renew until cancelled. You can cancel anytime from Settings → Billing.
• A 14-day free trial is available with all features, no card required. You will not be automatically charged at the end of the trial.
• Plan tiers: Starter (up to 30 workers), Professional (up to 100 workers), and Enterprise (unlimited workers).
• Price changes will be communicated with 30 days' notice.
• All prices exclude applicable taxes.
• Cancellation takes effect at the end of the paid period. No refunds are given for partial months.

4. Event Passes

Event Passes provide full Starter features for short-term use without a monthly commitment.

• Two passes are available: a 3-Day Pass and a 7-Day Pass.
• Each pass is a one-time payment providing full Starter features for up to 30 workers.
• On expiry, the Organisation becomes read-only: existing data is retained and exportable indefinitely, but no new records can be created.
• Passes never auto-renew.

5. Licence & Intellectual Property

F.I.D. Integrated Services Ltd, a private company limited by shares incorporated in England and Wales under company number 17005482, whose registered office is 11 Stonecote Road, Aylesham, Kent, United Kingdom, trading as 'Shift Flow' owns the Platform and all associated intellectual property. Each Organisation receives a non-exclusive, non-transferable licence to use the Platform for its internal operations. Each Organisation owns all worker, shift, and attendance data it creates on the Platform.

6. Acceptable Use

You agree not to misuse the Platform, including scraping data, impersonating others, or using it for unlawful purposes. We may suspend accounts that breach these Terms. Each Organisation is responsible for the accuracy of its worker data.

7. Availability & Changes

The Platform is provided on a reasonable-efforts basis and we do not guarantee uninterrupted uptime. We may modify or discontinue features with reasonable notice.

8. Worker Data & Data Protection

Each Organisation is the data controller for its worker data. F.I.D. Integrated Services Ltd, a private company limited by shares incorporated in England and Wales under company number 17005482, whose registered office is 11 Stonecote Road, Aylesham, Kent, United Kingdom, trading as 'Shift Flow' acts as data processor under UK GDPR. A Data Processing Agreement is available on request. Sub-processors are listed in the Privacy Policy.

Organisations must inform their workers that their data — including geofence sign-in location where enabled — will be processed on the Platform.

9. Third-Party Services

The Platform uses the following third-party services:

• Stripe for payment processing.
• Firebase Cloud Messaging for push notifications.
• Our third-party cloud application hosting provider.

10. Termination & Suspension

Either party may terminate the account at any time. On termination, Organisations may export their data before deletion. Worker records are anonymised 30 days after account deletion. Billing records are retained for 7 years as required by tax law.

11. Disclaimers

The service is provided "as is". We make no warranty of uninterrupted or error-free availability.

12. Limitation of Liability

F.I.D. Integrated Services Ltd, a private company limited by shares incorporated in England and Wales under company number 17005482, whose registered office is 11 Stonecote Road, Aylesham, Kent, United Kingdom, trading as 'Shift Flow''s total liability for any claim shall not exceed the fees paid in the 3 months prior to the event giving rise to the claim. We are not liable for indirect or consequential loss, lost wages, scheduling errors, or data loss caused by misuse.

13. Indemnity

Each Organisation indemnifies F.I.D. Integrated Services Ltd, a private company limited by shares incorporated in England and Wales under company number 17005482, whose registered office is 11 Stonecote Road, Aylesham, Kent, United Kingdom, trading as 'Shift Flow' against claims caused by its workers' data or its use of the Platform.

14. General

• Force majeure: neither party is liable for delays caused by circumstances beyond its reasonable control.
• No assignment without the other party's consent.
• Notices are given by email.
• Changes to these Terms are posted with an updated "Last updated" date.
• Severability: if any provision is found unenforceable, the rest remain in effect.
• These Terms constitute the entire agreement between the parties.
• The Contracts (Rights of Third Parties) Act 1999 does not apply.
• Governing law: England & Wales. Exclusive jurisdiction of the courts of England & Wales.
